1. Scope

These Terms and Conditions apply to all sales and deliveries made by Onlinezoo to consumers. A consumer is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business or profession. The contract language is German. English translations are provided solely for convenience; in the event of any discrepancies, the German version shall prevail.

For consumer contracts, the statutory places of jurisdiction apply. In the event that any provision of these Terms and Conditions is found to be invalid, the remaining provisions shall remain unaffected.

3. Offer and conclusion of contract

3.1 The presentation of products in our online shop does not constitute a legally binding offer. Instead, it is an invitation for the customer to place an order. All offers are subject to availability. Errors and omissions excepted.

3.2 By clicking the "Place Order" button during the final step of the checkout process, you submit a binding order for the goods contained in your shopping cart. The purchase contract is formed when we accept your order by sending an order confirmation email immediately after receipt of your order.

4. Text of the contract

The text of the contract is stored on our internal systems. You may access the current version of these Terms and Conditions on this website at any time. Your order details and a copy of the Terms and Conditions will be sent to you by email. For security reasons, the contract text is no longer accessible online after the ordering process has been completed.

5. Right of Withdrawal

(Right of cancellation)

Consumers have the statutory right to withdraw from this contract within fourteen (14) days without giving any reason. The withdrawal period is fourteen days from the day on which you, or a third party nominated by you who is not the carrier, take possession of the goods.

by means of a clear statement (e.g. a letter sent by post or email) declaring your decision to withdraw from the contract. You may use the model withdrawal form provided on our website (Sample cancellation form), although this is not mandatory. If you submit the withdrawal form or another clear declaration electronically, we will promptly send you confirmation of receipt by email.

To comply with the withdrawal period, it is sufficient that you send your notice of withdrawal before the fourteen‑day period expires.

Consequences of cancellation

If you withdraw from this contract, we will refund all payments received from you, including standard delivery costs (except any additional costs arising from your choice of a delivery method other than the least expensive standard delivery offered by us). The refund will be made without undue delay and no later than fourteen (14) days from the day on which we receive your notice of withdrawal.
We will use the same payment method for the refund that you used for the original transaction, unless expressly agreed otherwise; you will not be charged any fees for this refund. We may withhold the refund until we have received the returned goods or until you have provided evidence that you have sent the goods back, whichever occurs first.
You must return or hand over the goods to us without undue delay and in any event no later than fourteen (14) days from the day on which you informed us of your withdrawal. The deadline is met if you dispatch the goods before the fourteen‑day period expires.
You bear the direct costs of returning the goods. You are only liable for any diminished value of the goods resulting from handling beyond what is necessary to establish the nature, characteristics and functioning of the goods.

6. Prices and delivery costs

6.1 All prices displayed on the product pages include statutory VAT and all other applicable price components.

6.2 Delivery costs depend on the quantity of goods ordered, their weight and dimensions, and the selected shipping method. All delivery costs are clearly indicated before you submit your order. A detailed overview can be found on our Shipping information page. Assembly or installation services are not included.

6.3 For deliveries outside the European Union, the customer is responsible for all import and export duties, customs charges, taxes and any other fees or levies applicable in the destination country.

7. Shipment

7.1 If we are unable to fulfil your order for any reason, we will notify you by email without delay.

7.2 Unless a different delivery period has been expressly agreed, we will dispatch your order within 1–3 business days (excluding Christmas holiday periods) after receipt of payment. Unless otherwise stated, shipments are made via GLS. For deliveries to non‑EU countries, we may ship via postal services if this results in lower import or export charges for you.

7.3 The standard delivery time is 1–5 business days, depending on the destination country. Any deviations from these delivery times will be indicated on the respective product page.

The risk of loss or damage to the goods passes to the consumer only once the goods have been delivered to the consumer or to a third party designated by the consumer who is not the carrier.

If the consumer is in default of acceptance, we may store the goods at our premises and charge a storage fee of €1 per calendar day or part thereof. We remain entitled to insist on fulfilment of the contract. Alternatively, after granting a reasonable grace period, we may withdraw from the contract and resell the goods. Any purchase price already paid will be refunded, minus any costs incurred.

8. Payment

8.1 Payment may be made by bank transfer in advance, credit card, or cash upon collection. The payment methods available to you will be displayed during the checkout process.

8.2 If you choose payment in advance, our bank details will be provided in the order confirmation. The goods will be dispatched once payment has been received.

8.3 You may only set off claims against our claims if your counterclaims have been legally established by a court, are undisputed, or have been acknowledged by us in writing.

8.4 You may exercise a right of retention only if your claim arises from the same contractual relationship.

The date on which the payment is received in one of our accounts determines whether payment has been made in due time.

9. Retention of Title

The goods remain our property until full payment has been received.

10. Warranty

All goods purchased from our online shop are subject to the statutory warranty rights applicable to consumers. Warranty claims may be submitted to the address indicated on the respective product documentation or directly to our customer service. The warranty is provided in accordance with the applicable legal provisions.

These Business‑to‑Business Terms and Conditions apply to all sales and deliveries made by Onlinezoo to registered dealers and other business customers. A business customer is any natural or legal person who purchases goods for purposes relating to their trade, business or profession. The contract language is German. English translations are provided solely for convenience; in the event of any discrepancies, the German version shall prevail.

5. No Right of Withdrawal (B2B)

Business customers do not have a statutory right of withdrawal. Orders placed by dealers or other business customers are legally binding and cannot be cancelled unless expressly agreed by Onlinezoo in writing. Any cancellation granted as a gesture of goodwill may be subject to reimbursement of costs incurred.

6. Prices and Delivery Costs (B2B)

6.1 All prices displayed on the product pages are net prices and do not include statutory VAT. VAT and any other applicable charges will be added at the rate in force on the date of invoicing.

6.2 Delivery costs depend on the quantity of goods ordered, their weight and dimensions, and the selected shipping method. All delivery costs are indicated during the checkout process. A detailed overview is available on our Shipping information page. Assembly or installation services are not included. For dealers the the free shipping rule does not apply.

7. Shipping and Transport Risk (B2B)

7.1 If we are unable to fulfil your order for any reason, we will notify you by email without delay.

7.2 Unless a different delivery period has been expressly agreed, we will dispatch your order within 1–3 business days (excluding Christmas holiday periods) after receipt of payment. 7.4 For business customers, the risk of accidental loss or accidental damage to the goods passes to the buyer as soon as the goods are handed over to the carrier. This applies irrespective of which party commissioned the carrier.

7.5 If the buyer is in default of acceptance, we may store the goods at our premises and charge a storage fee of €1 per calendar day or part thereof. We remain entitled to insist on fulfilment of the contract. Alternatively, after granting a reasonable grace period, we may withdraw from the contract and resell the goods. Any purchase price already paid will be refunded, minus any costs incurred.

7.6 Importers: (Applies to all customers registered as dealers, except Austria, Germany, Spain, Slovenia and Ireland.)
"The buyer imports the goods under their own responsibility and acts as the producer/importer in accordance with national EPR legislation."
The buyer assumes all obligations in their destination country (such as WEEE and battery registration, packaging EPR, volume reporting, recycling fees).

8. Payment

8.1 Payment may be made by bank transfer in advance, credit card, or cash upon collection. The payment methods available to business customers are displayed during the checkout process.

8.2 If payment in advance is selected, our bank details will be provided in the order confirmation. Goods will be dispatched only after full payment has been received.

8.3 Business customers may only set off claims against our claims if their counterclaims have been legally established by a court, are undisputed, or have been acknowledged by us in writing.

8.4 A right of retention may only be exercised if the customer's claim arises from the same contractual relationship.

The date on which payment is received in one of our accounts determines whether payment has been made in due time.

9. Retention of Title (B2B)

All goods remain our property until full payment has been received. Title shall not pass to the business customer until all outstanding invoices relating to the commercial relationship have been settled in full. Until title has passed, the customer must handle the goods with due care and may not pledge or assign them as security.

10. Warranty (B2B)

Warranty claims by business customers are governed exclusively by the statutory provisions applicable to commercial transactions. Any defects must be reported without undue delay after delivery. If the goods are defective, we will, at our discretion, either remedy the defect or supply replacement goods. Further claims are excluded unless otherwise required by mandatory law.

11. Place of Jurisdiction (B2B)

For all disputes arising from or in connection with commercial transactions between Onlinezoo and business customers, the agreed place of jurisdiction is Vienna, Austria. Austrian law applies, to the exclusion of the UN Convention on Contracts for the International Sale of Goods (CISG). Mandatory statutory provisions on jurisdiction remain unaffected.

12. Liability (B2B)

Onlinezoo shall be liable for damages only in cases of intent or gross negligence. Liability for slight negligence is excluded, except where mandatory statutory provisions require otherwise. In commercial transactions, liability for consequential damages, indirect losses, loss of profit, and financial losses is excluded. This limitation of liability also applies to breaches of duty by our legal representatives or agents.

13. Final Provisions (B2B)

13.1 Any amendments or supplements to these Terms and Conditions must be made in writing. This also applies to any waiver of the written form requirement.

13.2 Should any provision of these Terms and Conditions be or become invalid, the remaining provisions shall remain unaffected. The invalid provision shall be replaced by a valid provision that most closely reflects the commercial intent of the original clause.

13.3 The business customer is not entitled to assign contractual rights or obligations to third parties without our prior written consent.

14. Data Protection (B2B)

Onlinezoo processes personal data of business customers in accordance with the applicable data protection laws, including the EU General Data Protection Regulation (GDPR). Personal data is collected, stored and used solely for the purpose of fulfilling contractual obligations, processing orders, providing customer support and complying with legal requirements.

Data will not be transferred to third parties unless necessary for contract performance (such as logistics or payment service providers) or required by law. Business customers may exercise their statutory rights of access, rectification, erasure, restriction of processing and data portability at any time.
